Terms of Service

1. Introduction and Scope
These Terms of Service (“Terms”) govern your access to and use of the Compfeed platform and services (“Services”) provided by Compfeed B.V., a company registered in the Netherlands (“Compfeed”, “we”, “us”, or “our”).
Compfeed is a business-to-business (B2B) software-as-a-service platform that helps organizations manage design system contribution workflows, component governance, documentation, and related collaboration processes.
These Terms are intended for business use only. By accessing or using the Services, you represent that you are acting on behalf of a business entity (“Customer”) and have the authority to bind that entity to these Terms.
1.1 Agreement Structure
Your use of the Services is governed by:
- A signed Order Form or Master Services Agreement, if applicable (takes precedence)
- Any applicable Data Processing Agreement (DPA) entered into by the parties, for personal data processing
- These Terms of Service
- Our Privacy Policy at https://www.compfeed.com/legal/privacy_policy
- Our Acceptable Use Policy as set forth in Section 12
In the event of conflict, documents listed earlier take precedence unless otherwise stated in those documents. Compfeed may offer additional policies, guidelines, or documentation referenced herein, which form part of these Terms when referenced.
1.2 Acceptance
By creating an account, accessing the Services, or clicking to accept these Terms, you agree to be bound by these Terms on behalf of the Customer. If you do not agree, do not use the Services.
2. Definitions
“Authorized User” means an individual authorized by the Customer to access the Services under the Customer’s account, such as employees, contractors, or agents.
“Customer” means the business entity that has agreed to these Terms and is responsible for the use of the Services by its Authorized Users.
“Customer Content” means all data, text, documentation, images, files, and other materials uploaded, created, or stored by Customer or Authorized Users within the Services, including component documentation, checklists, processes, activity logs, and design-system metadata.
“Compfeed Materials” means the Services, software, platform, user interface, documentation, templates, APIs (where made available), and all related intellectual property owned or licensed by Compfeed.
“Integrations” means third-party services that Customer may connect to the Services.
“Order Form” means any ordering document, subscription agreement, or statement of work referencing these Terms that specifies subscription details, fees, and other commercial terms.
“Organization” means a workspace created within the Services by Customer, containing teams, members, and Customer Content.
“Services” means the Compfeed platform, including the web application, integrations, APIs (where made available), and related features made available by Compfeed.
“Subscription Term” means the period during which Customer has paid access to the Services as specified in an Order Form or at subscription checkout.
3. Eligibility and Authority
3.1 Business Use Only
The Services are intended solely for business use by organizations. By using the Services, you represent that:
- You are acting on behalf of a business entity, not as an individual consumer
- You have the legal authority to bind the Customer to these Terms
- You are at least 18 years old or the age of legal majority in your jurisdiction
3.2 No Consumer Rights
As a B2B service, we do not extend consumer protection rights (such as statutory withdrawal periods) unless required by mandatory applicable law in your jurisdiction. If mandatory consumer protection laws apply to you, those rights are preserved.
3.3 No Minors
The Services are not directed to individuals under 18 years of age. We do not knowingly permit minors to create accounts or access the Services.
4. Accounts and Organization Administration
4.1 Account Registration
To use the Services, Authorized Users must create an account with accurate and complete information. Account holders are responsible for maintaining the confidentiality of their credentials and for all activities under their account.
4.2 Organization Ownership
When Customer creates an Organization, the creating user becomes the initial owner. Organization owners have full administrative control, including the ability to:
- Invite and remove Authorized Users
- Assign roles and permissions
- Enable or disable features
- Manage billing and subscriptions
- Delete the Organization
4.3 Customer Responsibility
Customer is responsible for:
- Ensuring Authorized Users comply with these Terms
- Managing access permissions and promptly removing access for personnel no longer authorized
- Maintaining the security of account credentials
- All activities that occur under Customer’s Organization
4.4 Account Deactivation and Deletion
Authorized Users may request deletion of their personal account through account settings. Account deletion follows a recovery period during which the account is deactivated but may be reactivated. After the recovery period, account finalization occurs and personal identifiers are removed.
Important: User contributions to Organization content (such as activity history and documentation changes) are retained as part of the Organization’s business records and attributed to “Former Member” after account finalization. Customer Content is not deleted upon individual user account deletion; it remains under the Organization’s control.
4.5 Organization Deletion
Organization owners may delete their Organization through a verified process. Organization deletion results in removal of the Organization and associated Customer Content from active systems, subject to:
- Backup retention cycles
- Legal and compliance retention requirements
- Billing and audit records
- Security logs and audit records
4.6 Sole Owner Restriction
An account may not be deleted if the user is the sole owner of any Organization. Ownership must be transferred or the Organization must be deleted first.
5. The Services
5.1 Service Description
Compfeed provides a design system governance platform that enables organizations to:
- Track and manage contributions to design systems
- Document components, patterns, and design tokens
- Create and manage checklists and processes for contribution workflows
- Collaborate across teams with role-based access
- Integrate with design tools and project management tools
- Optionally use AI-powered documentation assistance
5.2 Service Evolution
We continuously improve the Services. We may add, modify, or discontinue features at our discretion. For material changes that significantly reduce functionality you are paying for, we will provide reasonable notice where practical.
5.3 Beta and Preview Features
We may offer beta, preview, or early-access features. Such features are provided “as-is” without warranty or service level commitments and may be modified or discontinued without notice. Your use of beta features is voluntary.
6. Subscriptions, Fees, and Billing
6.1 Subscription Plans
The Services are offered under subscription plans including free and paid tiers with varying feature limits and seat allowances. Plan details are available on our website and at checkout.
6.2 Seat-Based Pricing
Paid plans use seat-based pricing. A “seat” represents one Authorized User with access to the Organization. Seats are counted at the Organization level regardless of team membership.
6.3 Trials
We may offer trial periods for paid features. Trial eligibility is limited to first-time users and Organizations that have not previously used a trial. Trial terms, including whether a payment method is required and whether the trial converts to a paid subscription, will be shown at signup or in the applicable Order Form.
6.4 Billing and Payment
Paid subscriptions are billed in advance on a monthly or annual basis as selected at checkout. Payments, subscriptions, invoices, taxes, and related billing support are handled through Paddle, our Merchant of Record. Paddle’s applicable buyer terms and checkout terms may apply to payment processing and subscription purchases. By subscribing, you authorize recurring charges to your payment method.
All fees are exclusive of applicable taxes (VAT, sales tax, etc.), which will be added where required.
6.5 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel through your account settings or by contacting support.
6.6 Payment Failure
If a payment fails, we may:
- Retry the charge
- Downgrade or suspend access until payment is received
- Terminate the subscription after reasonable notice
6.7 Refunds
Subscription fees are non-refundable except where:
- Required by mandatory applicable law
- Expressly agreed in an Order Form
- Compfeed materially breaches these Terms and fails to cure

6.8 Seat Changes
You may add seats during a Subscription Term and will be charged a prorated amount. Seat reductions typically take effect at the next renewal period unless otherwise agreed.
7. Customer Content
7.1 Ownership
Customer retains all ownership rights in Customer Content. Compfeed does not claim ownership of Customer Content.
7.2 License to Compfeed
Customer grants Compfeed a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, modify (for technical purposes such as formatting), back up, and otherwise use Customer Content solely to:
- Provide, operate, and secure the Services
- Support Customer’s use of the Services
- Comply with legal obligations
- Improve the Services (using aggregated or de-identified data where possible)
This license continues for the duration of Customer’s use of the Services plus any applicable retention periods.
7.3 Customer Responsibility
Customer is solely responsible for:
- The legality, accuracy, and appropriateness of Customer Content
- Ensuring Customer has all necessary rights and permissions to upload and use Customer Content
- Not uploading content that infringes third-party rights, violates applicable law, or contains malware
- Not uploading special categories of personal data (e.g., health data, biometric data) unless expressly agreed with Compfeed
7.4 Content Removal
Compfeed may remove or disable access to Customer Content if we reasonably believe it violates these Terms, applicable law, or the rights of third parties. We will notify Customer where practical unless prohibited by law.
8. AI Features
8.1 Availability
The Services may include AI-powered features for documentation generation and assistance. AI features are optional and must be enabled by the Organization owner.
8.2 AI Output Disclaimer
AI-generated content may be inaccurate, incomplete, or unsuitable for your purposes. AI outputs require human review before use. Compfeed does not guarantee the accuracy, reliability, or fitness of AI-generated content for any purpose.
8.3 Customer Responsibility
Customer is responsible for:
- All prompts, inputs, and use of AI features
- Reviewing and validating AI-generated outputs before relying on them
- Ensuring AI features are not used for prohibited purposes
8.4 No Professional Advice
AI features do not provide legal, financial, medical, or other professional advice. Do not use AI outputs as a substitute for qualified professional guidance.
8.5 Prohibited AI Use
You may not use AI features for:
- High-risk or regulated decision-making (employment, credit, legal, healthcare) unless expressly agreed
- Generating content that violates applicable law or third-party rights
- Attempting to extract, reverse-engineer, or replicate underlying AI models
8.6 AI Data Handling
AI processing is performed by third-party AI service providers. We do not use Customer Content to train Compfeed-owned AI models, and we configure third-party AI service providers not to use Customer Content for model training where this is available under their terms. See our Privacy Policy for details on AI data handling.
8.7 AI Data Retention and Deletion
When AI features are disabled for an Organization, AI-related data may be retained for a limited period in case you re-enable the feature. After that period, AI-related data is deleted or de-identified, subject to backup cycles, legal obligations, security logs, and other retention exceptions described in these Terms and our Privacy Policy. This does not affect Customer Content stored elsewhere in the Services.
9. Feedback
If you provide suggestions, ideas, or feedback about the Services (“Feedback”), Compfeed may use Feedback without restriction or obligation to you, provided we do not disclose your Confidential Information in doing so. Feedback does not create any confidentiality obligation for Compfeed unless separately agreed.
10. Compfeed Intellectual Property
10.1 Ownership
Compfeed and its licensors own all rights in the Compfeed Materials, including the platform, software, user interface, APIs, documentation, and all related intellectual property. These Terms do not transfer any ownership rights to Customer.
10.2 License Grant
Subject to these Terms, Compfeed grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the Subscription Term for Customer’s internal business purposes.
10.3 Restrictions
Customer may not:
- Copy, modify, or create derivative works of the Compfeed Materials (except Customer Content)
- Reverse engineer, decompile, or disassemble the Services except where permitted by mandatory law
- Rent, lease, lend, sell, sublicense, or distribute the Services
- Use the Services to build a competing product or service
- Remove or alter proprietary notices
- Access the Services to benchmark or evaluate for competitive purposes without consent
11. Third-Party Integrations
11.1 Customer-Enabled Integrations
Customer may enable integrations with third-party services. By enabling an integration, Customer authorizes Compfeed to exchange data with the third-party service as necessary to provide the integration functionality.
11.2 Third-Party Terms
Integrations are governed by the third party’s own terms and privacy policies. Compfeed is not responsible for the availability, performance, security, or practices of third-party services.
11.3 Integration Data
Data obtained from integrations is treated as Customer Content. Customer is responsible for ensuring it has the right to access and use such data within the Services.
11.4 Authorization Data and Permissions
Compfeed stores integration authorization data as needed to operate connected integrations. Customer is responsible for maintaining appropriate permissions and promptly revoking access when an integration is no longer needed.
11.5 Integration Changes
Third-party services may change their APIs or terms, which may affect integration functionality. Compfeed will make reasonable efforts to maintain integrations but does not guarantee uninterrupted integration availability.
12. Acceptable Use
12.1 Prohibited Conduct
Customer and Authorized Users may not:
- Use the Services for any unlawful purpose or in violation of applicable law
- Violate the rights of others, including intellectual property, privacy, or publicity rights
- Upload or transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Services, other accounts, or systems
- Interfere with or disrupt the Services or impose unreasonable load on infrastructure
- Use automated means (bots, scrapers) to access the Services except via approved APIs
- Circumvent usage limits, access controls, or security measures
- Use the Services for unsolicited communications or spam
- Impersonate another person or entity
- Use the Services for cryptocurrency mining or similar resource-intensive activities
- Use non-public Compfeed information or materials to build a competing service
12.2 Enforcement
Compfeed may investigate violations and take appropriate action, including warning, suspension, or termination of access, and cooperation with law enforcement where required.
13. Confidentiality
13.1 Confidential Information
“Confidential Information” means non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential, including business plans, technical information, product information, customer data, and security information.
13.2 Obligations
Each party agrees to:
- Protect the other’s Confidential Information with at least the same care it uses for its own confidential information
- Use Confidential Information only for purposes of performing under these Terms
- Not disclose Confidential Information to third parties except to employees, contractors, or agents with a need to know who are bound by confidentiality obligations
13.3 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available without breach
- Was known to the receiving party before disclosure
- Is independently developed without use of Confidential Information
- Is rightfully received from a third party without restriction
13.4 Required Disclosure
A party may disclose Confidential Information if required by law, regulation, or court order, provided it gives reasonable notice (where permitted) to allow the other party to seek protective measures.
14. Security and Data Protection
14.1 Security Measures
Compfeed implements appropriate technical and organizational measures to protect the Services and Customer Content, including encryption in transit and at rest, access controls, and security monitoring.
14.2 Customer Responsibility
Customer is responsible for:
- Configuring appropriate access controls within their Organization
- Managing Authorized User permissions
- Protecting account credentials
- Promptly reporting suspected security incidents to support@compfeed.com
14.3 Data Protection
The processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement entered into by the parties. Customer is typically the data controller for personal data within Customer Content; Compfeed is the processor.
14.4 No Guarantees
While we implement reasonable security measures, no system is completely secure. Compfeed does not guarantee that the Services will be free from unauthorized access, data breaches, or security vulnerabilities.
15. Data Export and Retention
15.1 During Subscription
During an active Subscription Term, Customer may access and export Customer Content through available product features or other reasonable means provided by Compfeed.
15.2 Post-Termination
Upon termination or expiration of the Subscription Term:
- Customer’s access to the Services will be restricted or terminated
- Customer Content may be retained for a limited period to allow for data retrieval upon request
- After the retention period, Customer Content may be deleted
15.3 Retention Exceptions
Compfeed may retain data beyond standard periods for:
- Compliance with legal, tax, or regulatory obligations
- Billing and accounting records
- Security logs and audit trails
- Backup cycles
- Legitimate business purposes such as dispute resolution
15.4 Export Assistance
For enterprise customers or where required by law, Compfeed will provide reasonable assistance with data export upon written request during the Subscription Term or within a reasonable period after termination.
16. Suspension and Termination
16.1 Termination by Customer
Customer may stop using the Services and cancel their subscription at any time through account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
16.2 Termination by Compfeed
Compfeed may terminate these Terms or Customer’s access:
- For material breach that is not cured within 30 days of written notice
- Immediately for violation of acceptable use policies, security threats, or illegal activity
- If required by law or legal process
16.3 Suspension
Compfeed may suspend access to the Services immediately, without prior notice, if:
- Customer fails to pay fees when due
- We reasonably believe there is a security risk or threat
- Customer or an Authorized User violates acceptable use policies
- Required by law or legal process
- Customer’s use poses a risk to the Services, other customers, or third parties
We will provide notice of suspension where practical and restore access when the issue is resolved.
16.4 Effect of Termination
Upon termination:
- Customer’s right to access the Services ends
- Outstanding fees become immediately due
- Provisions that by their nature should survive (confidentiality, limitation of liability, indemnification, governing law) remain in effect
17. Service Availability
17.1 No Uptime Guarantee
Unless expressly stated in an Order Form or separate SLA, Compfeed does not guarantee any specific level of uptime or availability. The Services are provided on an “as available” basis.
17.2 Maintenance
Compfeed may perform scheduled or emergency maintenance that temporarily affects Service availability. We will provide reasonable notice of scheduled maintenance where practical.
17.3 Support
Support is provided via support@compfeed.com. Response times and support levels may vary and are not guaranteed unless specified in an Order Form.
18. Warranties and Disclaimers
18.1 Limited Warranty
Compfeed warrants that the Services will be provided with reasonable skill and care in accordance with industry standards.
18.2 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
COMPFEED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
18.3 Beta Features
Beta, preview, or early-access features are provided without any warranty. Use of such features is at Customer’s own risk.
19. Limitation of Liability
19.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
19.2 Liability Cap
EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO COMPFEED FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE THOUSAND EUROS (EUR 1,000).
19.3 Free Services
FOR FREE TIERS OR TRIAL PERIODS, COMPFEED’S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED EUROS (EUR 100).
19.4 Exceptions
The limitations in Sections 19.1 and 19.2 do not apply to:
- Customer’s payment obligations
- Liability for fraud or willful misconduct
- Customer’s indemnification obligations under Section 20
- Customer’s breach of Section 10.3 (IP restrictions) or Section 12 (Acceptable Use)
- Liability that cannot be limited under applicable law
20. Indemnification
20.1 Customer Indemnification
Customer agrees to defend, indemnify, and hold harmless Compfeed and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Customer Content or Customer’s use of the Services
- Violation of these Terms by Customer or Authorized Users
- Violation of applicable law by Customer or Authorized Users
- Infringement of third-party rights by Customer Content
- Customer’s use of integrations
20.2 Procedure
Compfeed will provide prompt notice of any claim and reasonably cooperate with Customer’s defense. Customer may not settle any claim without Compfeed’s consent if the settlement imposes obligations on Compfeed or admits liability on Compfeed’s behalf.
21. Governing Law and Dispute Resolution
21.1 Governing Law
These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.
21.2 Jurisdiction
Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
21.3 Good Faith Resolution
Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation for at least thirty (30) days.
22. Changes to Terms
22.1 Modification
Compfeed may modify these Terms from time to time for legal, regulatory, technical, or commercial reasons.
22.2 Notice
For material changes, we will provide reasonable notice by:
- Posting a notice on the Services
- Sending an email to the account contact
- Updating the “Last updated” date
22.3 Objection
If Customer objects to material changes, Customer may terminate the subscription before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the modified Terms.
22.4 Immediate Changes
We may implement changes immediately without advance notice if required by law or necessary to address security vulnerabilities.
23. General Provisions
23.1 Entire Agreement
These Terms, together with any Order Forms, the Privacy Policy, and any applicable DPA, constitute the entire agreement between the parties and supersede all prior agreements regarding the Services.
23.2 Severability
If any provision of these Terms is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.
23.3 Waiver
Failure to enforce any provision is not a waiver of future enforcement of that or any other provision.
23.4 Assignment
Customer may not assign these Terms without Compfeed’s prior written consent. Compfeed may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets. Any attempted assignment in violation of this section is void.
23.5 No Third-Party Beneficiaries
These Terms do not create any rights for third parties except as expressly stated.
23.6 Force Majeure
Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, labor disputes, government actions, internet or telecommunications failures, or pandemics.
23.7 Notices
Notices to Compfeed must be sent to support@compfeed.com. Notices to Customer will be sent to the email address associated with the Customer’s account.
23.8 Relationship
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
